1.Agreement to These Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Contentsvilla (OPC) Pvt Ltd and govern your access to and use of GoPostNow, a cloud based AI-powered social media planning and management platform for content creation, scheduling, publishing, and analytics (the “Services”).

By creating an account, accessing, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a business or organization, you represent that you are authorized to bind that entity, and “you” refers to that entity. If you do not agree, you must not use the Services.

Additional policies, including our Privacy Policy, Cookie Policy, Data Processing Agreement, and any refund or acceptable use policy, are incorporated into and form part of these Terms.

2.Key Definitions

• Services: the GoPostNow platform and all of its features, including AI generation tools, publishing, scheduling, analytics, and the public API.
• User Content: any text, prompts, images, audio, video, reference files, or other materials you upload, input, or provide to the Services.
• AI Output (or Generated Content): content produced by the Services’ AI tools from your prompts, reference images, or other inputs.
• Published Content: content you schedule, post, or distribute to third-party platforms through the Services.
• Workspace: a tenant/brand space within your account; Team Members are collaborators you invite to a Workspace.

3.Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. You must not be barred from using the Services under any applicable law, and you must comply with all applicable export control and sanctions regulations. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

4.Accounts, Workspaces & Team Access

• Provide accurate, complete, and current information during registration and keep it up to date.
• Keep your login credentials confidential and notify us promptly of any unauthorized access or security incident.
• You are responsible for all activity that occurs under your account and Workspaces, including actions taken by your Team Members.
• As an account owner, you are responsible for the permissions you grant to Team Members and for their compliance with these Terms.
• You are responsible for the third-party accounts (e.g., social, CMS, or commerce platforms) you connect, including maintaining valid authorizations and honoring each platform’s terms.

5.Description of the Services

The Services provide tools for creating, managing, and distributing content, including:

• AI writing: AI-assisted social posts, captions, and long-form articles.
• Image Studio: text-to-image generation, image-to-image generation using one or more reference images, avatar generation, thumbnails, product imagery, background removal, and image enhancement.
• Video Studio: video projects, auto-captions, AI clips, and voiceovers.
• Content Radar & Agent Gopi: content ideas, trends, feeds, and an in-app assistant.
• Scheduling & publishing: to connected platforms such as Facebook, Instagram, LinkedIn, X, Pinterest, Reddit, Threads, YouTube, TikTok, WordPress, and Shopify, plus comment-reply automation.
• Analytics, stock media, team collaboration, and a public REST API.

We may add, modify, suspend, or remove features at any time. Some features rely on third-party AI providers and are subject to their availability and policies.

6.AI, Avatars & Synthetic Media: Responsible and Lawful Use

Our AI generation features, including Image Studio (text-to-image and image-to-image using reference images), Avatar creation, and Video Studio, are powerful and must be used only for genuine, lawful, and good-faith purposes. You are solely responsible for the prompts, reference images, and outputs you create, upload, or publish.

When using any AI or synthetic-media feature, you agree that you will NOT:

• Upload or use the face, likeness, name, or voice of any real person without their explicit, informed consent, and never that of a minor.
• Create deepfakes, face-swaps, avatars, or other media that impersonate, misrepresent, or falsely depict any real person, brand, or organization, or that could deceive others as to authenticity.
• Generate sexual, nude, or intimate imagery of any real person, non-consensual intimate imagery, or, under a strict zero-tolerance policy, any content that sexualizes or exploits minors. Such activity will be reported to the relevant authorities.
• Use copyrighted characters, logos, artwork, photographs, or another creator’s images as prompts or reference inputs without holding the necessary rights.
• Produce content to defraud, scam, phish, or impersonate for financial, political, or reputational gain.
• Create misinformation, fabricated “evidence,” or manipulated media of real people or events, including content intended to mislead voters or interfere with elections or civic processes.
• Depict, promote, or facilitate violence, self-harm, terrorism, illegal weapons or drugs, human trafficking, or hate and harassment against individuals or protected groups.
• Process biometric data or photographs of individuals in violation of biometric-privacy or data-protection laws.

You also agree to:

• Obtain all rights, licenses, consents, and model or property releases required for any reference image, face, logo, product, or brand you upload or reference.
• Clearly disclose or label AI-generated or AI-modified media wherever required by law or by the destination platform’s synthetic-media policies.
• Comply with the acceptable-use and AI policies of our upstream AI providers (for example, Google, OpenAI, and Anthropic) and of every platform you publish to.

We may filter, refuse, block, watermark, or remove any AI request or output, and may report unlawful activity. AI Output may be inaccurate, may resemble existing works, and is not guaranteed to be unique or free of third-party rights, so you must review it before use or publication.

7.Your Responsibilities

As a user of GoPostNow, you agree to:

• Use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and industry guidelines.
• Take full responsibility for the legality, accuracy, and appropriateness of all content you create, upload, schedule, or publish.
• Obtain all consents, licenses, and permissions needed for people, brands, trademarks, music, stock media, and reference material you use.
• Ensure you have a lawful basis to process any personal data you upload or provide.
• Comply with the terms, advertising rules, and community policies of every third-party platform you connect or publish to.
• Make appropriate disclosures (e.g., advertising, sponsorship, or AI-content labeling) as required by law or platform policy.

8.Acceptable Use & Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation, or infringe intellectual property, privacy, publicity, or other rights.
• Upload or distribute harmful, malicious, deceptive, hateful, or explicit illegal content, or malware.
• Spam, scrape, or overload the Services, or send unsolicited or bulk communications in violation of anti-spam laws.
• Attempt unauthorized access, reverse engineer, or circumvent security, rate limits, credit metering, or feature restrictions.
• Resell, sublicense, or provide the Services to third parties except as expressly permitted, or use the Services or their outputs to build, train, or improve a competing AI model or dataset.
• Create or manage advertisements or content that violate any third-party platform’s policies.
• Share account credentials or use the Services for any illegal or fraudulent purpose.

We may remove content, disable features, or suspend or terminate accounts for violations, and may report unlawful activity to the authorities.

9.Social Publishing & Third-Party Platforms

When you connect an account and schedule or publish through the Services, you authorize us to post and manage content on your behalf using the permissions you grant. You remain responsible for the content, for maintaining valid authorizations, and for complying with each platform’s terms, advertising, and automation policies.

We are not responsible for third-party platform outages, API or policy changes, content rejections, reach or performance, or account restrictions imposed by those platforms. Comment-reply and other automation features must be used in line with each platform’s automation rules and must not be used to send spam.

10.Ownership of Generated & Published Content

Your Content. You retain ownership of the User Content and reference materials you upload, subject to the license in the next section. You represent that you hold all necessary rights to that content.

AI-Generated Output. As between you and Contentsvilla (OPC) Pvt Ltd, and to the fullest extent permitted by applicable law and our AI providers’ terms, you may use the AI Output you generate for your lawful business and personal purposes. However, you acknowledge that:

• AI Output may not be eligible for copyright or exclusive ownership in some jurisdictions;
• similar or identical outputs may be generated for other users, so outputs are non-exclusive and are not guaranteed to be unique;
• you receive no rights in any third-party intellectual property that may appear in an output; and
• your rights in AI Output are conditioned on your compliance with these Terms and payment of applicable fees.

Published Content. You are solely responsible for content you publish through the Services and for ensuring you hold the rights to distribute it, subject to the terms of each destination platform.

Our Intellectual Property. The Services, including the platform, software, AI models and interfaces, and Contentsvilla (OPC) Pvt Ltd branding, remain the exclusive property of Contentsvilla (OPC) Pvt Ltd and its licensors and are not transferred to you.

11.License You Grant Us

You grant Contentsvilla (OPC) Pvt Ltd a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, transmit, adapt (for example, to resize, transcode, or format), and display your User Content and AI Output solely to operate, secure, and improve the Services and to publish content to the platforms you direct. We do not sell your content. We may use aggregated or de-identified data to operate and improve the Services.

12.Data Protection & Privacy

We process personal data as described in our Privacy Policy and Data Processing Agreement. Under the GDPR, CCPA, and similar laws, you retain your rights over your personal data and may request access, correction, deletion, or export at any time.

Our obligations include:

• Acting as a data processor only on documented instructions.
• Implementing appropriate technical and organizational security measures.
• Supporting data-subject rights such as access, erasure, and portability.
• Not transferring data outside approved regions without adequate safeguards.
• Notifying you without undue delay of any data breach affecting your data.

Your obligations include ensuring you have lawful grounds to process any personal data (including faces and likenesses in reference images) that you upload, and complying with all data-protection and biometric-privacy laws applicable to your activities.

13.Plans, AI Credits, Billing & Refunds

Subscriptions are billed in advance on a recurring basis, and you authorize us or our payment processor to charge your chosen payment method automatically. AI features consume plan credits at the point of generation; credits that have been consumed to produce output are non-refundable. If a payment fails, we may suspend access. We may modify pricing with notice.

Paid fees are non-refundable except where required by law or expressly stated in our refund policy:

• All refunds will be processed within 7 days of approval.
• Our 100% money-back guarantee covers the price of the product only.
• Customers must contact our support team with their order information to request a refund.
• Once a valid refund request is submitted, processing will take no more than 30 days and will be returned to the original payment method (PayPal orders are credited back to the PayPal account).

If we receive excessive or repeated refund requests, or believe our guarantee is being abused, we reserve the right to refuse future business and to deny future refunds at our sole discretion.

14.Third-Party Services & AI Providers

The Services integrate with third-party providers, including AI models, social and commerce platforms, payment processors, and stock-media sources. Your use of those services is subject to their own terms and policies. We do not control and are not responsible for third-party services, their availability, or their content, and your dealings with them are solely between you and the relevant provider.

15.Intellectual Property

All content, software, models, and other materials provided on the platform (excluding your User Content and AI Output) are protected by intellectual property rights owned by Contentsvilla (OPC) Pvt Ltd or its licensors. You may not use, reproduce, or distribute any such materials without prior written consent.

16.Disclaimers & No Warranty

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI Output will be accurate, complete, lawful, original, or suitable for your purpose. AI Output is generated automatically and may be inaccurate or misleading; it does not constitute professional (legal, medical, or financial) advice, and you are responsible for reviewing it before use.

17.Limitation of Liability

To the maximum extent permitted by law, Contentsvilla (OPC) Pvt Ltd and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption, arising from or in connection with your use of the Services. To the extent liability cannot be excluded, our total aggregate liability will not exceed the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

18.Indemnification

You agree to defend, indemnify, and hold harmless Contentsvilla (OPC) Pvt Ltd and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• your User Content, prompts, reference images, and AI Output;
• your Published Content and your use of connected third-party platforms;
• your use or misuse of the Services, including the AI, avatar, and synthetic-media features;
• your violation of these Terms or of any law or third-party right, including intellectual property, privacy, publicity, biometric, or consumer-protection rights;
• any misrepresentation of AI-generated content as authentic; and
• any dispute between you and a third party or platform.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

19.Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including immediately for any violation of these Terms or our acceptable-use and AI policies. Upon termination, your right to use the Services ends and you must stop using the platform. We may retain or delete your data in accordance with our Privacy Policy and applicable law; where required, we will provide a reasonable window to export your content before deletion. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive termination.

20.Changes to the Terms & Services

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. We may also change, suspend, or discontinue any part of the Services at any time.

21.Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Contentsvilla (OPC) Pvt Ltd is established, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the competent courts of that location. Before initiating any formal dispute, you agree to first contact us and attempt to resolve the matter informally in good faith.

22.General

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Contentsvilla (OPC) Pvt Ltd regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.

23.Hours of Operation

Contentsvilla (OPC) Pvt Ltd office is open Monday – Friday, 9:00 AM – 5:00 PM EST. We close for all government-observed holidays. These policies and procedures apply to all products and services from Contentsvilla (OPC) Pvt Ltd.
